1.Title to goods does not transfer untill goods are paid for in full, although any element of risk such as loss or damage occurring whilst in the posession of the purchaser transfers with the raising of an invoice.

2. Goods are offered for sale on an outright basics. Returns may be considered by prior arrangement only , subject to a 20% handing charge, and providing there is a good trading history.

3. Carriage will be charged on all shipments.

4.VAT at the ruling rate will be added to all shipments where relevant.

5. Whilst every effort is made to adhere to the promised delivery date, the vendors do not accept penalties for late delivery's and in the event of discrepancies between quantities advised and quantites received, these must be notified within five days of the shipment date otherwise claims will not be considered.

6. In the event of cancellation of any contract where preparatory work has been carried out, ie artwork,jacquards,films,screens,etc., the cost of such will be charge.

7.Pro-forma invoices must be paid by return goods will be returned to stock and offered for resale. On receipt of payment a receipted invoice will be issued.

8. All accounts save the above are payable within 30 days of invoiced date. Discounts may only be taken if the invoice is cleared by the agreed date, and will not be offered where there is an outstanding balance on the account. Interest will be charged at The cooperative Bankbase rate of + 5% on overdue amounts.

9.In placing the order the purchaser agrees to indemnify the vendors against any claim which maybe made upon the purchaser by any third party in respect of goods supplied .The purchaser shall hold the vendors harmless against any expense or loss resulting from infringement of patents,trademarks or copyrights arising from compliance with expense, indemnify and defend the vendors against liability for all claims founded upon the legal effects and use of any words, designs or devices which the purchaser may order to be woven, printed,embossed or embroidered onto any substrate,notwithstanding that the vendors may have been consulted thereon or provided artwork or special services in connection therewith.

ADDENDUM. In accordance with contracts between various licensers and ourselves we obliged to make you, as our distributor, aware that any merchandise supplied must only be offered for resale in the condition in which it has been purchased. Any modification or affixing to any other article is prohibited and will contravene the licensing, Trademark and Copyright law. Proof of such activity directly by the person purchasing the Licensed Product, or encouraging, assisting or otherwise condoning such use will render that person liable to prosecution and loss of distribution rights.
